Senior Governance Officer – Legal Entity Controlling (m/f/x)

How to contribute to our vision
We are looking for a dedicated and open-minded Senior Governance Officer (m/f/d) to join the Legal Entity Controlling team within our Offshore Governance department located in Hamburg, Germany. In this role you will work in a highly motivated and engaged team, which acts as Management Office for the Legal Entity Germany and operates as a focal point for governance related matters. As Governance officer you will have a wide exposure to management across different organizations and functions, which require sound finance, company law and tax knowledge as well as good communication skills.
In the role you will be responsible for
  • You coordinate and support the optimization of the German legal entity structure e.g., shareholding/company structures including permanent establishments, liquidation processes and similar
  • You support the Managing Directors in a variety of topics e.g. Annual Financial Statement Coordination, Powers of Attorneys and other ad-hoc topics
  • You drive commercial/company law topics in respect of Trade Register, Federal Gazette, Transparency Register including the preparation of Shareholder Resolutions
  • You are reviewing on regular basis capital structure/requirements and will perform impairment tests,
  • You coordinate related internal projects and process optimizations in the legal entity
  • You are central contact for regular requests from government institutions and agencies as well as cross-functional interface between internal departments
  • You continuously ensure implementation of improvement measures with regards to Legal Entity Governance
  • You may be involved in process/policy roll-outs as well Transfer Pricing related activities
Furthermore, you will support
  • Management Office Function Germany
  • Corporate Shareholder Governance with regards to Legal Entity Information and Controlling
  • Point of Contact for Corporate Functions on legal entity related matters
What you need to make a difference
Passion for renewable energy and a sense for the importance to lead the change. We are also looking for
  • You have more than 3 years of experience within Finance or Controlling areas, Corporate Legal or Notarial functions
  • Bachelor or master’s degree in Business Administration, commercial or corporate law or comparable professional working experience
  • Basic knowledge of german and/or international corporate law would be an advantage and/or “concluded education in paralegal/legal secretaries (e.g. Rechtsanwalts- und Notarfachangestellte/r) and/or legal administrator (e.g. Rechtsfachwirt)
  • You have Project management skills (planning, coordination, alignments, stakeholder management)
  • You possess excellent time management skills and advanced interpersonal and communication skills. Planning, coordination, alignment and stakeholder management comes natural to you.
  • As a person you are result-/solution-oriented, well-structured, diligent and a dedicated team player with strong analytical skills
  • You possess excellent German and English skills, both orally and in writing
  • You have good interpersonal skills and are capable of working with people from different cultures and organizational levels
